Independent Shariah Authority
The World Waqf Fund is designed around a governance framework that places Shari’ah compliance, corpus preservation, financial integrity, risk management and public accountability at the centre of its operations.
Its proposed governance arrangements are intended to protect the integrity of the endowment while ensuring that capital is deployed responsibly towards its approved development mandate.
The Mutawalli Board
The Founding Prospectus provides for a Mutawalli Board comprising at least five members, including:
A Fund Chair with relevant experience in Islamic finance, development finance or waqf administration.
Two representatives of the Global Waqf Alliance Governing Council.
A member with expertise in Islamic investment portfolio management.
A representative of the Shari’ah Supervisory Arrangement.
The proposed Board is to meet at least quarterly and report to the Global Waqf Alliance's designated coordination structure. The framework also encourages women's representation in the Board's membership.
Shari’ah Compliance
All investment activities are intended to comply with applicable Shari’ah requirements and relevant AAOIFI Shari’ah standards. A dedicated Shari’ah Supervisory Arrangement is provided for within the governance framework.
Potential investment instruments identified in the prospectus include:
Sukuk.
Shari’ah-compliant equity.
Murabahah deposits with licensed Islamic financial institutions.
Wakalah investment arrangements.
Shari’ah-compliant real estate.
Investment activity will be subject to the approved Investment Policy, applicable legal requirements and the Fund's corpus preservation rules.
Risk Management & Financial Integrity
The Fund's governance framework provides for:
Diversification across asset classes, geographies and counterparties.
Liquidity management and investment portfolio reviews.
Conflict-of-interest declarations and appropriate abstention procedures.
Anti-money laundering and counter-terrorist financing controls.
Cybersecurity and information protection.
Whistleblower reporting and protection against retaliation.
Independent performance evaluation.
Business continuity and disaster recovery planning.
Transparency & Reporting
The proposed accountability framework includes annual progress reporting, audited financial statements, disclosure of investment allocations and reporting against capitalisation milestones.
The Fund is also intended to participate in the wider waqf capital reporting architecture maintained by the Global Waqf Alliance, subject to the approved framework and applicable disclosure requirements.
